End User License Agreement and Terms of Use

Important Notice: Please read this Agreement carefully before using any mobile application (including but not limited to "Sunnyfish", collectively, the "App") and related services provided by WildBee Inc. ("we" or the "Developer"). By downloading, installing, accessing, or using the App, or by purchasing any subscription services, you ("User" or "you") agree to be bound by this Agreement and all terms of our Privacy Policy. If you do not agree to any part of this Agreement, please stop using the App and services immediately.

1. Confirmation of Agreement and Contracting Parties

You acknowledge and agree that this End User License Agreement and Terms of Use (this "Agreement") is concluded solely between you (the User) and the Developer of the App, WildBee Inc. Apple is not a party to this Agreement. The Developer, not Apple, is solely responsible for the App and its content and services. This Agreement may not conflict with the usage rules set out in the "Apple Media Services Terms and Conditions" (as effective from time to time), and you confirm that you have had an opportunity to review those terms.

2. Subscription Terms

2.1 Services and Subscriptions

The App may offer paid services on an auto-renewable subscription basis in order to unlock premium features, content, or remove advertisements. Details such as subscription plans, billing cycles, pricing, and any trial periods shall be as displayed in the in-app purchase interface at the time of purchase.

2.2 Auto-Renewal and Charges

Your subscription (e.g., monthly or annual) will renew automatically at the end of each billing period unless auto-renewal is turned off through Apple at least 24 hours before the end of the current period. The renewal fee will be charged to your iTunes account within 24 hours prior to the start of the next period.

2.3 Free Trial

If a free trial is offered, at the end of the trial period your subscription will automatically convert to a paid subscription and charges will begin, unless you cancel before the trial ends. You may cancel at any time during the trial to avoid charges.

2.4 Subscription Management, Cancellation, and Refunds

2.5 Price Changes

We reserve the right to adjust the price of future subscription periods. Any price change will be communicated to you in an appropriate manner before your subscription renews. If you do not agree to the new price, you must turn off auto-renewal before the new price takes effect.

3. Scope of License

The Developer grants you a personal, worldwide, royalty-free, non-exclusive, and non-transferable license to use the App only on Apple-branded products that you own or control. This license is subject to the usage rules set forth in the "Apple Media Services Terms and Conditions". Under Apple's Family Sharing or volume purchase programs, other users associated with the purchaser's account may also access and use the App.

4. Maintenance and Support

The Developer is solely responsible for providing any maintenance and support services with respect to the App, as required under this Agreement and applicable law. You and the Developer acknowledge that Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the App.

5. Warranties and Disclaimer

The Developer is solely responsible for any product warranties (if any), whether express or implied. To the maximum extent permitted by law, the App is provided "as is" and "as available", without warranties of any kind.

In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price for the App to you in accordance with its policies (if applicable). To the maximum extent permitted by law, Apple will have no other warranty obligation whatsoever with respect to the App, and any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty will be the sole responsibility of the Developer and not Apple.

6. Product Claims

You and the Developer acknowledge that the Developer, not Apple, is responsible for addressing any end-user or third-party claims relating to the App, including but not limited to: (i) product liability claims; (ii) any claim that the App fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy, or similar laws, including in connection with the App's use of HealthKit, HomeKit, or similar frameworks. Any limitation of the Developer's liability under this Agreement shall not exceed what is permitted by applicable law.

7. Intellectual Property Infringement

If any third party claims that the App or your possession and/or use of the App infringes that third party's intellectual property rights, the Developer, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such intellectual property infringement claim.

8. Legal Compliance and User Representations

You represent and warrant that: (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.

10. Third-Party Terms

You agree that when using the App, you must comply with any applicable third-party terms. For example, if you use features involving internet calling (VoIP) or high data usage, you must ensure that such use does not violate your agreement with your wireless data service provider.

11. Privacy Policy

Your privacy is important to us. Our practices regarding personal information are governed by our separate Privacy Policy, which is available at: ./privacyPolicy.html.

12. Third-Party Beneficiary

You acknowledge and agree that Apple and Apple's subsidiaries are third-party beneficiaries of this Agreement, and that upon your acceptance of the terms and conditions of this Agreement, Apple will have the right (and will be deemed to have accepted the right) to enforce this Agreement against you as a third-party beneficiary with respect to provisions relating to Apple.

13. Miscellaneous

13.1 Entire Agreement

This Agreement constitutes the entire agreement between you and the Developer regarding the subject matter hereof and supersedes any prior oral or written communications.

13.2 Severability

If any provision of this Agreement is held by a court of competent jurisdiction to be invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force and effect.

13.3 Changes to this Agreement

We reserve the right to update or modify this Agreement at any time. Any material changes will be communicated prior to the effective date through appropriate means such as in-app notices or email. Your continued use of the services after the Agreement is updated constitutes acceptance of the revised Agreement.
